Terms
The terms under which GetValuated is provided to founders and to investors.
Who we are and what these terms cover
GetValuated is operated by Hess Adnani Ltd (“GetValuated”, “we”, “us”). These terms are the agreement between us and you for your use of the platform at app.getvaluated.com, together with every page, feature and document served from it.
By creating an account, accepting an invitation, or using the platform in any other way, you agree to these terms. If you do not agree to them, do not use the platform.
Two other documents form part of this agreement and should be read with it: the Privacy Policy, which sets out what we do with personal data, and the Cookie Notice, which sets out what we store in your browser.
The two sides of the platform
An account is either a startup account or an organisation account, and which one you hold decides what these terms ask of you. The type is fixed when the account is created and determines the workspace you are signed in to.
- Startup account
- Held by a company, and used by a founder or an authorised member of its team. A startup completes assessments about its own business, and decides which organisations may read them.
- Organisation account
- Held by a fund, accelerator, programme operator or event, and used by its team. An organisation invites startups, reviews what is released to it, runs application calls, and sets reporting standards for the companies in its portfolio.
Where a section below is addressed to one side only, it says so. Everything else applies to both.
Eligibility and authority
The platform is provided for business use only. It is not offered to consumers, and nothing on it is directed at anyone acting outside their trade, business or profession.
By opening an account you confirm that:
- you are at least 18 years old;
- you are authorised to enter into this agreement on behalf of the company or organisation you name, and that company or organisation is bound by it;
- the information you give when registering - including the company or organisation name, the stage, and the billing details - is accurate; and
- you are not barred from receiving the service under the law that applies to you, including sanctions and export control law.
Where you use the platform on behalf of a company, “you” in these terms means both you and that company.
Your account
One account belongs to one person at one email address. Do not share credentials, and do not let anyone use your account who is not authorised to act for your company or organisation - everything done through it is treated as done by you.
Keep your password secret and tell us at legal@getvaluated.com as soon as you believe it has been compromised. Changing your password signs out every other session on your account; a signed-in session otherwise lasts 30 days if you asked to be kept signed in, and 12 hours if you did not.
You are responsible for the people you add to your workspace, and for removing them when their access should end.
Assessments - for startups
An assessment is a structured questionnaire about your company. Which questions you are asked follows the stage you select at the start; the stage cannot be changed once you have answered a question, because it decides what was asked of you.
Answers save as you work, and you may keep as many assessments over time as you wish. Submission is final. On submission your answers are frozen as a record of what was actually submitted: a later edit to the form, and any later change in your business, does not alter it. A submitted assessment remains readable to you, but cannot be reopened or amended. If the position has changed, take a new assessment.
What you warrant about your answers
The entire value of the platform to the organisation reading it rests on what you submit being true. You therefore warrant that, to the best of your knowledge and belief, each answer you submit is accurate, complete and not misleading at the time you submit it, and that you have the right to submit it - including where it contains information belonging to a third party, or personal data about your team.
Do not submit anything you are not free to disclose, and do not submit material subject to a confidentiality obligation you would breach by releasing it.
What a valuation and a certificate are - and are not
A certified assessment produces an indicative valuation range, a set of dimension scores, an expert review and a comparable set. These are generated from the answers you submitted, by our own model and methodology.
None of it is a professional valuation opinion, an audit, an assurance engagement, a fairness opinion, accounting or tax advice, a financial promotion, or investment advice. It is not prepared under any recognised valuation, auditing or assurance standard, no registered valuer or auditor takes responsibility for it, and it is not a substitute for the due diligence any party would otherwise carry out.
A valuation is an estimate built on stated assumptions and on unverified answers. We do not verify what a startup submits. A certificate records that an assessment was completed and scored on a given date under a given version of the model - it certifies the process, not the truth of the inputs and not the accuracy of the output.
No party should treat any output of the platform as the sole or decisive basis for investing, declining to invest, pricing a round, valuing a holding, reporting a valuation to its own investors, or making any other financial decision. Every such decision is yours, taken on your own judgement and your own advice.
The methodology and the model may change. A later assessment may score differently from an earlier one on materially similar facts, and neither is wrong for that reason. A certificate identifies the version it was issued under.
AI-assisted features
Parts of the platform, including Ask, use a large language model to answer questions about material already in your workspace. Ask is scoped: it answers from what has actually been released to the person asking, and from nothing else.
Model output can be wrong, incomplete or out of date, and can be stated confidently while being none of those things. Treat it as a reading aid over the underlying record, never as a statement of fact and never as advice. Where an answer matters, check it against the assessment itself. We are not liable for a decision taken on the strength of a generated answer.
What is sent to our model provider, and what that provider may do with it, is set out in the Privacy Policy.
Releasing an assessment, and taking it back
An assessment is not visible to anyone else until the startup releases it into a connection with a named organisation. The startup controls that release. An organisation can invite, and can ask; it cannot help itself to an assessment that has not been released to it.
Releasing an assessment to an organisation is your instruction to us to disclose it to that organisation, and your permission for that organisation to read, store and use it for the purpose set out below.
Revocation is forward-looking
You may revoke a release or end a connection at any time, and both take effect immediately for the future: the organisation loses access to the material through the platform. Neither can undo the past. An organisation that has already read, exported or acted on what you released has it, and may keep it under section 9. Revoking is not a claw-back, and should not be relied on as one.
A record of the relationship, that it existed and what happened in it, is kept after revocation, because a record that could be deleted by one side would not be a reliable record for either.
What an organisation may do with what it is shown - for organisations
Material released to you through a connection is the startup's confidential information. In receiving it you agree that:
- Purpose. You will use it only to evaluate, transact with, or monitor that company as a prospective or existing investee, applicant or portfolio company - and for no other purpose, including any purpose that competes with it.
- No redistribution. You will not publish it, sell it, or pass it to anyone outside your organisation and its professional advisers, except with the startup's written consent or where the law requires it.
- Your people. You will limit it to those in your organisation who need it for that purpose, and you remain responsible for what they do with it.
- Care and security. You will protect it at least as carefully as you protect your own confidential information, and never with less than reasonable care.
- On revocation. You will stop using it for any new purpose, and you will delete or return it on the startup's request, except for copies you must keep by law or under your own record-keeping and regulatory obligations, and copies held in routine backups.
These obligations survive the end of your account and the end of the connection they arose in.
Reporting standards and audits
An organisation may define a reporting standard - the metrics, the documents and the bands against which answers are read - and apply it to companies in its portfolio. Requests then arise on the stated cadence, or off-cycle where the organisation asks for one.
A startup sees the organisation's current standard, not a copy taken when the request was raised, so a threshold revised today is the threshold you answer against tomorrow. What is fixed to a request is which standard applies to it.
These are contractual reporting arrangements between the two of you. Whether a startup must answer, and what follows if it does not, is a matter for the agreement between them - not for us. We provide the mechanism and take no part in the relationship, and the word “audit” here describes that reporting cycle, not an audit in any regulatory or accounting sense.
Fees and payment
Certification of an assessment carries a fee. The fee buys the certificate, not the assessment - completing an assessment costs nothing, and it is issuing and certifying the result that is charged for.
Who pays is fixed when the invitation is created and is recorded against it: either the inviting organisation or the startup. Where an organisation has agreed to pay, a completed but uncertified assessment may still be linked to its connection; where the startup pays, nothing is released before the certificate is issued.
Fees are stated exclusive of VAT and any other tax, which is added where it applies at the rate in force. You are responsible for giving us correct billing details and a correct VAT position, and for any tax charged as a result of details that were wrong.
Unless we agree otherwise in writing, invoices are payable within 14 days. We may suspend certification and access to certified material while an invoice is overdue. Fees are non-refundable once a certificate has been issued, since the work they pay for has been done and the artefact cannot be recalled. This does not affect any right you have that cannot be excluded by law.
Acceptable use
You will not:
- submit anything false or misleading, impersonate anyone, or misrepresent your connection with a company or organisation;
- upload anything unlawful, infringing, defamatory, or containing malicious code;
- attempt to reach an account, assessment, connection or record that has not been made available to you, or probe, scan or test the platform's security;
- scrape, crawl, or extract data in bulk by automated means, or use the platform to build a competing product or a derived dataset;
- reverse engineer, decompile, or attempt to derive our model, methodology or scoring from its outputs;
- resell, sublicense or provide the platform as a service to anyone else; or
- interfere with the platform's operation, or with anyone else's use of it.
Certificate verification at /public/certification/<certificate-id> is public by design, so that a certificate can be checked without an account. It answers whether a certificate is genuine and when it was issued, and nothing more. Using it to enumerate certificates is a breach of this section.
Intellectual property
Ours
The platform, its software, design, the assessment framework, the scoring model and methodology, and everything else we make available (other than your own content) belong to us or to our licensors. Nothing in these terms transfers any of it to you. You are granted a limited, non-exclusive, non-transferable, revocable right to use the platform for the purposes set out in these terms, for as long as your account is open.
Yours
What you submit stays yours. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process and display it, and to disclose it to the organisations you release it to - solely in order to operate the platform and provide the service to you. The licence lasts as long as we hold the content under section 15, and no longer.
Aggregated data
We may produce statistical and aggregated insight (benchmarks, comparable sets, distributions) from platform data, and use it to operate and improve the service, including in material shown to other users. Such output is de-identified: it will not name you, identify your company, or be presented so that your company can reasonably be identified from it. Aggregated output is ours.
Availability and changes to the service
We aim to keep the platform available, but we do not promise it will be uninterrupted or error-free, and we give no uptime commitment. Access may be interrupted for maintenance, for fixes, or by something outside our control.
The platform is under active development. We may add, change, or withdraw features. Where a change materially reduces the service in a way that disadvantages you, we will tell you in advance where it is reasonably practicable to do so.
You are responsible for keeping your own copies of anything you need to retain. The platform is not a backup service and should not be relied on as your only record.
Suspension, termination and what happens to your data
You may close your account at any time by writing to legal@getvaluated.com.
We may suspend or terminate an account, immediately and without refund, where you materially breach these terms, where an invoice is significantly overdue, where we are required to by law, or where your use of the platform poses a risk to it or to another user. Where the circumstances allow it, we will tell you first and give you a chance to put the breach right.
On termination your right to use the platform ends. We keep certified assessments, certificates and connection records for the period set out in the Privacy Policy: these are records other parties have relied on, and a certificate that stopped verifying because an account was closed would be worse than no certificate at all. Sections 9, 13, 16, 17, 18 and 20 survive termination.
Disclaimer of warranties
The platform is provided “as is” and “as available”. To the fullest extent the law allows, we exclude all warranties, conditions and terms implied by statute or common law, including any implied term as to satisfactory quality, fitness for a particular purpose, or non-infringement.
In particular, and without limiting section 6, we do not warrant that any valuation, score, comparable, expert review or generated answer is accurate, complete, current or fit for any decision you take on it; and we do not warrant, endorse or take responsibility for anything submitted by a startup or done by an organisation.
Limitation of liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.
Subject to that, we are not liable to you for:
- loss of profit, revenue, business, opportunity, anticipated saving, goodwill or reputation;
- any investment made or not made, any price agreed or not agreed, or any other financial decision taken in reliance on the platform;
- loss or corruption of data, where you have not kept your own copy; or
- any indirect or consequential loss,
however arising, and whether or not we were told such loss was possible.
Our total liability to you for all claims arising out of or in connection with this agreement, in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the greater of the total fees you paid us in the 12 months before the claim arose, and £500.
Because the platform is provided to businesses and its outputs are indicative rather than assured, this allocation of risk is a condition of us providing it at the price we do.
Your indemnity
You will indemnify us against any loss, liability, cost or expense (including reasonable legal fees) we incur from a third-party claim arising out of your breach of these terms, your misuse of the platform, content you submitted that was false, misleading or that you had no right to submit, or your use or disclosure of material released to you through a connection.
Changes to these terms
We may change these terms. The version in force is always the one published at this address, with the date it took effect at the top.
Where a change materially affects your rights or obligations, we will give you reasonable notice, by email or in the platform, before it takes effect. Continuing to use the platform after that date means you accept the new version. If you do not accept it, close your account before it takes effect.
General, and the law that applies
Governing law. This agreement, and any dispute arising out of or in connection with it or its subject matter, is governed by the laws of England and Wales.
Jurisdiction. The courts of England and Wales have exclusive jurisdiction over any such dispute.
Entire agreement. These terms, the Privacy Policy and the Cookie Notice are the whole agreement between us on their subject matter, and replace anything said or written before it. Nothing here limits liability for fraudulent misrepresentation.
No waiver. If we do not enforce a right, we do not lose it.
Severance. If any provision is held unenforceable, the rest stands, and that provision applies to the greatest extent the law allows.
Assignment. You may not assign or transfer this agreement without our written consent. We may assign it to a successor to our business.
Third parties. No one other than you and us has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
